CODREN

Terms of Service

Last updated October 19, 2026 · Version 2026-10-19

CODREN is operated by SPICEY SOCIAL AI LLC, a New Jersey limited liability company ("we", "us").

These Terms of Service ("Terms") are a binding agreement between you and SPICEY SOCIAL AI LLC, a New Jersey limited liability company ("CODREN", "we", "us" or "our"), and govern your access to and use of the CODREN website at codren.ai, the CODREN web app and iOS app, local agents (including the PC and Mac agents), desktop and device companions, remote/server modes, hosted app backends, APIs and related services (together, the "Service").

By creating an account, checking the agreement box, clicking to accept, or using the Service, you agree to these Terms, our Privacy Policy, our Acceptable Use Policy and our Disclaimer, which are part of these Terms. If you do not agree, do not use the Service. If you use the Service for an organization, you confirm you are authorized to bind it, and "you" includes that organization.

IMPORTANT: SECTION 18 CONTAINS A BINDING INDIVIDUAL ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. IT AFFECTS HOW DISPUTES ARE RESOLVED, INCLUDING YOUR RIGHT TO GO TO COURT AND TO A JURY TRIAL. YOU MAY OPT OUT WITHIN 30 DAYS AS DESCRIBED IN SECTION 18. SECTIONS 3, 14 AND 15 DISCLAIM WARRANTIES AND LIMIT OUR LIABILITY.

1. Eligibility and accounts

You must be at least 18 years old, or the age of majority where you live if that is higher, and able to form a binding contract. The Service is not directed to children and you may not use it if you are under that age.

You must give accurate information, keep your login credentials confidential and are responsible for all activity under your account. Tell us promptly at valondervishi13@gmail.com if you believe your account has been compromised.

2. The Service

CODREN is an AI-assisted platform that can generate and edit code, build, preview and host apps and app backends, generate text, images, voice and dubbed audio or video, browse websites, and act on servers, computers or devices that you connect. Features, limits, models and providers may change, be added or be removed at any time.

Beta, preview, tester, experimental or "early access" features are provided for evaluation only, may be incomplete, unstable or discontinued at any time, and carry no guarantee, service level or support commitment of any kind.

Support. CODREN offers free in-app support tickets. First replies may come from CODREN Support, an AI assistant whose replies are labeled "AI-generated", may contain errors and cannot grant refunds, credits or account changes; such requests are reviewed by a person. CODREN is operated by SPICEY SOCIAL AI LLC.

3. AI Output Disclaimer

The Service uses artificial intelligence. Everything the Service generates or does for you, including code, apps, websites, backends, commands, plans, designs, text, summaries, images, voice, speech, translations, dubbing and agent actions ("AI Output"), is produced automatically and may be inaccurate, incomplete, outdated, biased, offensive or unsuitable for your purpose, even when it looks or sounds confident.

In particular, AI Output may contain errors, bugs, security vulnerabilities, insecure defaults, exposed secrets, data-loss risks, accessibility problems or performance problems, and may reproduce or resemble material that is protected by copyright, trademark, patent, privacy, publicity or other third-party rights, or that is subject to open-source or other license obligations. AI Output may be similar or identical to output generated for other users. Automated checks, tests, previews and reviews performed by the Service reduce some risks but do not detect all problems and are not a guarantee.

AI Output is not professional advice. It is not legal, medical, health, financial, investment, tax, accounting, security, engineering or other professional advice, and it does not create any professional-client relationship. Consult a qualified professional before relying on AI Output for any such matter.

Do not use the Service or AI Output for any purpose where a failure or error could lead to death, personal injury, or severe physical, environmental or financial damage (for example medical devices, vehicle or aircraft control, critical infrastructure or emergency services).

4. Your responsibility for what you build, publish and process

You must independently review, test, verify and secure all AI Output before you rely on, use, publish or deploy it. Before an app, website or backend is published, deployed or made available to anyone else, you are responsible for reviewing its code, testing it, securing it (including authentication, access control, secrets, input validation and dependencies) and keeping it updated.

You are solely responsible for: (a) Your Content and the AI Output you choose to use; (b) the code, apps, websites, backends, content and deployments you create, run or publish with the Service, and their security, operation and maintenance; (c) compliance with all laws and regulations that apply to you and to what you build, including privacy and data-protection laws (such as the GDPR, UK GDPR, CCPA/CPRA and other U.S. state privacy laws), consumer-protection, e-commerce and marketing laws, accessibility laws, export controls and sanctions, and intellectual-property law; (d) complying with the licenses and terms of any open-source license, dependency, library, font, image, model, API or other asset used in or by your projects (including open-source license obligations); (e) your relationship with your own end users, customers and visitors, including providing them with your own terms of service, privacy notice and support; and (f) any personal data or other data that you or your apps collect, store or process. For personal data processed by apps you build, you (not SPICEY SOCIAL AI LLC) are the controller or business responsible for that data.

5. Connected accounts, agents and approvals

You are responsible for your own third-party accounts, services, servers, repositories, domains and devices, and for any credentials, API keys, SSH keys, tokens or passwords you provide to or use with the Service. Only connect systems you own or are authorized to control.

When you install or enable a local agent (including the CODREN PC agent and Mac agent), desktop or device companion, browser agent, or remote/server mode, you grant it the permissions you choose. Agent actions on your computer, devices, servers or accounts run only with your permission. You are responsible for the permissions you grant, for reviewing and approving agent actions, and for what the agent does within the permissions and approvals you give.

The Service asks for your approval before certain sensitive actions (for example production deployments, deleting data, payments, sending messages, or running commands on your systems). When you approve an action, you authorize it and you are responsible for the approved action and its consequences. We log approvals (who approved, when and what) as a record of your instructions. Approval prompts are a safety aid, not a guarantee that every risky action will be detected.

CODREN Agent (computer control). Before your first pairing you must accept a separate consent screen; we record your acceptance with the date, time, consent version and IP address. Once paired and running, the Agent can, at your request, read and list files, take screenshots, read the screen, move the mouse, type, open and control apps and browsers (including Safari), and run commands on that computer. Read-only steps may run without a prompt; edits, commands, clicks and typing ask for your approval unless you choose "Allow all for this task" for that one task. You can stop the Agent at any time (Stop or the kill switch) and revoke a computer in Settings › Connected devices, which ends its access immediately.

When you ask the Agent to use a third-party website, app or account (for example Opsler, QuickBooks or any other service), you are solely responsible for complying with that service's terms, policies and any automation restrictions, and for having the right to access the accounts and data involved. CODREN does not store your passwords; do not ask the Agent to type passwords you do not want sent through the Service.

The Agent downloads from codren.ai are currently provided outside the Mac App Store and Microsoft Store. Until they are signed with Apple Developer ID and notarized, and Authenticode-signed for Windows, your operating system may warn you before opening them; only download the Agent from codren.ai. The Agent includes open-source components (including Node.js) under their own licenses; see THIRD-PARTY-NOTICES.txt and the license files shipped with the Agent.

6. Backups, versions and Restore

The Service may keep versions of your projects and offer Restore or undo features. These features are a convenience only. We do not guarantee that any version, file, database, backup or Restore point will be available, complete, uncorrupted or recoverable. You are responsible for keeping your own independent, regular backups of your code, data, content and systems, including by exporting your projects.

7. Your content and your rights to it

You keep ownership of the content, files, prompts, code, media and data you submit, upload or import ("Your Content") and, as between you and us and to the extent permitted by law and by our providers' terms, of the AI Output generated for you. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display Your Content and AI Output only as needed to provide, secure, support and improve the operation of the Service, to comply with law and to enforce these Terms.

You represent and warrant that you own or have all rights, licenses, consents and permissions necessary to upload, import and use Your Content with the Service (including code and projects imported from other services, repositories or ZIP files, and any images, audio, video, voices or likenesses of people), and that Your Content, your use of AI Output and your use of the Service will not violate these Terms, any law or any third-party right.

8. AI voice, dubbing and media

If you use voice, speech, live talk, voice cloning, translation, dubbing or other media features, you must have all rights and consents needed for every voice, recording, likeness, video, audio track and script you provide or generate, including the clear consent of each person whose voice or likeness is recorded, cloned, imitated or dubbed. You may not use these features to impersonate anyone, to create misleading or deceptive content (such as deepfakes presented as real), or to infringe anyone's privacy, publicity, copyright or other rights. Where the law requires it, you must clearly disclose to your audience that content is AI-generated or altered. You are solely responsible for how you publish and use generated voice and media.

9. Acceptable use and suspension

You must follow our Acceptable Use Policy at codren.ai/acceptable-use. Among other things, you may not use the Service for anything illegal; to create or distribute malware, ransomware, phishing or other harmful code; for fraud, scams, impersonation or deception; to infringe intellectual-property, privacy or publicity rights; to harass, threaten, defame or promote violence or hatred; to create, store or share child sexual abuse material (CSAM) or any sexual content involving minors; for non-consensual intimate imagery or non-consensual voice or likeness cloning; for spam; or to gain unauthorized access to, attack or disrupt any system, including the Service.

We may investigate, remove content, take down apps or backends, limit, suspend or terminate your access, with or without notice, if we reasonably believe you violated these Terms or the Acceptable Use Policy, created risk or possible legal exposure for us or others, abused the Service or its limits, or if required by law. We may also stop or cancel any running agent task at any time. We may report illegal content or activity to law enforcement or other appropriate authorities.

10. Plans, credits, payments and storage

Paid plans and add-on credits are billed in advance through our payment processors (currently Stripe and PayPal) at the prices shown at purchase; card statements show "CODREN". Subscriptions renew automatically until cancelled; you can cancel at any time and the cancellation takes effect at the end of the current billing period. Taxes may apply.

CODREN credits and usage allowances are a limited, revocable license to use the Service. They have no cash value, are not property, are not transferable and cannot be redeemed for money. Refunds are handled under our Refund Policy at codren.ai/refunds: unused add-on packs can be refunded within 14 days of purchase; credits that have been used and partial subscription periods are non-refundable. Otherwise, and except where required by law, payments, credits and fees are non-refundable, including for AI Output you are unhappy with.

Credits and allowances can expire. Plan allowances reset with each usage window or billing period and do not roll over. Add-on credits are valid as described at purchase and end when your account is closed or terminated. We may change prices, plans, limits and credit rules for future periods with notice.

If you run out of credits, your stored files and projects are not deleted because of that; AI work simply pauses until credits or allowance are available again. If your storage is full, new uploads and new files stop until you free up space or upgrade; existing files are not deleted because storage is full. We may delete content of closed, terminated or long-inactive accounts as described in our Privacy Policy.

11. Third-party services

The Service relies on and interoperates with third-party services, including AI service providers (available on request), hosting and infrastructure providers, payment processing (currently Stripe and PayPal), email delivery, app stores, and the websites, repositories, servers and tools you connect. Your use of third-party services, and AI Output produced by third-party models, may also be subject to those providers' own terms and policies, which you agree to follow where they apply to you. We are not responsible for third-party services, their availability, content, security, output or terms, and we do not control them.

Connected services (Google, GitHub and others)

When you connect a third-party account (for example Google Calendar, Google Drive or GitHub), you authorize CODREN to access that account within the permissions you approve, only to perform the tasks you request. You must own the account or be authorized to connect it, and you remain responsible for your use of that account and for complying with the provider's terms (including the Google Terms of Service and the GitHub Terms of Service) and with the rights of others (for example the people you invite to events or whose information appears in your files).

CODREN asks for your confirmation before it creates or changes calendar events, sends invitations, uploads files or pushes branches, commits or pull requests. When you confirm, you authorize that action and you are responsible for it and its consequences, including messages the provider sends on your behalf. Review every confirmation carefully; AI can make mistakes.

Third-party services are provided by their operators, not by us. We are not responsible for their availability, changes to their APIs or permissions, their security, or their handling of your data, and connections may stop working or be removed at any time. Your use of data received from Google APIs is subject to our Privacy Policy, which describes our compliance with the Google API Services User Data Policy, including its Limited Use requirements.

You can disconnect a service at any time in Settings › Connections; we then revoke our access where the provider supports it and delete the stored access tokens.

12. Our intellectual property and feedback

The Service, including its software, design, branding and the CODREN name and logo, is owned by SPICEY SOCIAL AI LLC or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service under these Terms. You may not copy, resell, reverse engineer (except where the law allows), or use the Service to build a competing product. If you send feedback or suggestions, we may use them without obligation to you.

13. Copyright complaints (DMCA)

We respect intellectual-property rights. If you believe content on the Service infringes your copyright, send a notice to our copyright agent at valondervishi13@gmail.com (subject line "DMCA Notice") including: your physical or electronic signature; identification of the copyrighted work; identification of the allegedly infringing material and where it is located; your contact information; a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent or the law; and a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act for the owner.

If your content was removed and you believe it was a mistake or misidentification, you may send a counter-notice to the same address with the information required by 17 U.S.C. § 512(g). We may terminate accounts of repeat infringers.

14. Disclaimer of warranties

THE SERVICE, ALL AI OUTPUT AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, SPICEY SOCIAL AI LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, LICENSORS AND PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE OR ANY AI OUTPUT WILL BE ACCURATE, SECURE, ERROR-FREE, UNINTERRUPTED, AVAILABLE AT ANY PARTICULAR TIME OR WITH ANY PARTICULAR UPTIME, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT IT WILL MEET YOUR REQUIREMENTS; THAT ANY CODE WILL COMPILE, RUN, BE SECURE OR BE FREE OF THIRD-PARTY CLAIMS; OR THAT ANY CONTENT, PROJECT, VERSION, BACKUP OR DATA WILL BE PRESERVED, STORED WITHOUT LOSS OR CORRUPTION, OR RESTORABLE. YOU ARE RESPONSIBLE FOR KEEPING YOUR OWN BACKUPS.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SPICEY SOCIAL AI LLC OR ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, LICENSORS OR PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR ANTICIPATED SAVINGS, LOSS OR CORRUPTION OF DATA OR CODE, DOWNTIME, SERVICE INTERRUPTION, SECURITY INCIDENTS, COST OF SUBSTITUTE SERVICES, OR DAMAGES ARISING FROM AI OUTPUT, APPS OR CONTENT YOU PUBLISHED OR DEPLOYED, AGENT ACTIONS YOU APPROVED OR PERMITTED, OR YOUR CONNECTED ACCOUNTS, SERVERS OR DEVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY OR OTHERWISE), EVEN IF ADVISED OF THEIR POSSIBILITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

THESE LIMITATIONS ARE AN ESSENTIAL PART OF THE BARGAIN AND APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, SUCH AS LIABILITY FOR FRAUD, GROSS NEGLIGENCE OR WILLFUL MISCONDUCT WHERE THE LAW DOES NOT ALLOW IT TO BE LIMITED.

16. Indemnification

To the fullest extent permitted by law, you will defend, indemnify and hold harmless SPICEY SOCIAL AI LLC and its members, managers, employees, contractors and agents from and against any claims, losses, liabilities, damages, judgments, penalties, fines, costs and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content or the AI Output, code, apps, backends, media or deployments you create, use or publish; (b) your use or misuse of the Service; (c) actions you approved or permitted the Service or its agents to take; (d) your connected accounts, systems and credentials; (e) your end users and any data you or your apps collect or process; (f) your violation of these Terms, the Acceptable Use Policy or any law; or (g) your infringement or violation of any third-party right, including rights in voices, likenesses and media. We may control the defense of any claim at your expense, and you will not settle a claim without our written consent.

17. Termination

You may stop using the Service and close your account at any time from Account → Delete account (on codren.ai and in the CODREN iOS app), or by contacting valondervishi13@gmail.com. We may suspend or terminate the Service or your account as described in Section 9, or discontinue the Service for any reason with reasonable notice where practical. On termination your right to use the Service ends, unused credits are forfeited (except where a refund is required by law), and we may delete your content after a reasonable period. Sections that by their nature should survive (including Sections 3–8, 10, and 12–21) survive termination.

18. Dispute resolution: binding individual arbitration and class action waiver

Informal resolution first. Before filing any claim, you and we agree to try to resolve the dispute informally for at least 30 days. Send a written notice describing the dispute and the relief requested to valondervishi13@gmail.com (or we will send it to your account email).

Agreement to arbitrate. Except as stated below, you and SPICEY SOCIAL AI LLC agree that any dispute, claim or controversy arising out of or relating to these Terms or the Service (including its formation, validity, scope or enforceability) will be resolved exclusively by final and binding arbitration on an individual basis, administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or its Commercial Arbitration Rules if you use the Service for business purposes), as modified by this Section. The arbitrator, and not a court, decides questions of arbitrability, except that a court decides questions about the class action waiver and the mass-arbitration provisions below. The Federal Arbitration Act governs this Section. Hearings may be conducted by video or telephone, or in person in the county where you live or another mutually agreed location. Fees are paid as provided in the AAA rules. Judgment on the award may be entered in any court of competent jurisdiction.

WAIVER OF COURT AND JURY TRIAL. BY AGREEING TO ARBITRATION, YOU AND WE EACH GIVE UP THE RIGHT TO SUE IN COURT AND TO HAVE A TRIAL BEFORE A JUDGE OR JURY. ARBITRATION IS DIFFERENT FROM COURT: DISCOVERY AND APPEAL RIGHTS ARE MORE LIMITED.

CLASS ACTION WAIVER. YOU AND WE MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL PROCEEDING. The arbitrator may not consolidate claims of more than one person or award relief on behalf of anyone other than the individual party. If this class action waiver is found unenforceable as to a claim, that claim (and only that claim) will be decided in court, after all individual arbitrable claims are resolved.

Mass arbitration. If 25 or more similar demands are filed by or with the help of the same or coordinated counsel, they may be administered in batches under the AAA's mass arbitration procedures, and the parties agree to cooperate in good faith on staged and efficient resolution.

Exceptions. Either party may (a) bring an individual claim in small claims court in your county of residence or in New Jersey, as long as it stays in that court and is not a class or representative action; and (b) seek injunctive or other equitable relief in court for infringement or misuse of intellectual property or unauthorized access to the Service.

30-day opt-out. You may opt out of this arbitration agreement by sending an email to valondervishi13@gmail.com with the subject "Arbitration Opt-Out", including your name and account email and a clear statement that you opt out, within 30 days after you first accept these Terms. Opting out does not affect any other part of these Terms. If you opt out, or if this Section does not apply, disputes will be resolved exclusively in the state or federal courts located in New Jersey, and you and we consent to their personal jurisdiction.

Time limit. To the extent permitted by law, any claim must be brought within one year after it arises, or it is permanently barred.

19. Governing law

These Terms and any dispute relating to them or the Service are governed by the laws of the State of New Jersey, USA, and applicable U.S. federal law (including the Federal Arbitration Act), without regard to conflict-of-law rules. If you are a consumer living outside the United States, you may also have the benefit of mandatory protections of the law of your country of residence.

20. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you (for example in the app or by email) and ask you to accept the updated Terms; the "Last updated" date and version at the top of each document show the current version. Changes apply going forward from their effective date. If you do not agree to the changes, stop using the Service. Changes to Section 18 will not apply to disputes already notified to us before the change.

21. General terms and contact

These Terms, together with the documents they reference, are the entire agreement between you and us about the Service. If any provision is found unenforceable, it will be enforced to the maximum extent permissible and the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, reorganization or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. There are no third-party beneficiaries.

Some jurisdictions do not allow certain warranty disclaimers or limitations of liability; in those jurisdictions those provisions apply only to the extent the law allows.
